Terms of Service

Please read these terms carefully — they govern your use of SecondBoard.AI, including how subscriptions, billing, and AI-generated board outputs work.

1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of SecondBoard.AI (the "Service"), operated by SecondBoard AI ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The service

SecondBoard.AI is an AI-powered board meeting simulation. AI agents with distinct roles and skills debate your business decisions, produce meeting minutes and protocols, and retain memory of prior sessions and the company context you provide, so later meetings build on earlier ones. Features may change, improve, or be discontinued over time.

3. AI disclaimer

All board outputs are AI-generated simulations provided for informational and brainstorming purposes only. They are not financial, legal, tax, accounting, or investment advice.

No fiduciary, advisory, agency, or professional relationship is created by using the Service. AI agents are not real directors and their statements do not represent the views of any real person or firm. Outputs may be inaccurate, incomplete, or misleading.

You make all business decisions at your own risk and should consult qualified professionals before acting on anything produced by the Service.

4. Accounts

You must provide accurate and current information when registering. Accounts are for a single person — do not share credentials or allow others to use your account. You are responsible for safeguarding your login details and for all activity under your account. Notify us promptly of any unauthorized use.

5. Subscriptions & billing

Payments are processed by Creem.io, which acts as the merchant of record for all purchases. Your purchase is therefore also subject to Creem's terms and privacy policy.

The Founder plan is billed monthly at $39 or yearly at $390 (prices in USD, exclusive of any taxes that Creem may collect).

You can start a board session for free. At certain moments inside the session you may choose to upgrade to the full Founder plan to dive deeper and unlock the complete experience. If you do not upgrade, you are not charged. Founder plan subscriptions are billed monthly at $39 or yearly at $390 (prices in USD, exclusive of any taxes that Creem may collect). One upgrade per customer.

You may cancel at any time; cancellation takes effect at the end of the current billing period and access continues until then.

6. Refunds

If you choose not to upgrade during a free session, you are not charged. If you have already been billed and something went wrong, refund requests are handled case-by-case — email giorgikeburia@gmail.com and, where approved, the refund is processed through Creem back to the original payment method.

7. Fair use

"Unlimited" means unmetered genuine individual use of the Service. Automated or scripted usage, sharing an account across multiple people or organizations, reselling access, or usage that materially exceeds normal individual patterns may be rate-limited, throttled, or suspended. We will make reasonable efforts to contact you before taking action.

8. User content

You retain ownership of the documents, company information, messages, and other data you upload ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and transmit your User Content solely to operate and provide the Service to you — including processing by third-party AI providers described in our Privacy Policy. We do not sell your User Content.

9. Acceptable use

You may not use the Service to upload or generate unlawful, infringing, or harmful content; attempt to reverse engineer, decompile, or copy the Service; extract or reconstruct underlying models, system prompts, or agent configurations; circumvent security or rate limits; or interfere with other users' use of the Service.

10. Intellectual property

The Service, including its software, agent designs, brand, logos, and content (excluding User Content), is owned by us and protected by intellectual property laws. These Terms grant you a limited, revocable, non-transferable right to use the Service — not any ownership interest.

11. Disclaimer of warranties & limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy of AI output, and non-infringement. We do not warrant uninterrupted or error-free operation.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunity. Our total aggregate liability is capped at the fees you paid to us in the 12 months preceding the event giving rise to the claim.

12. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Service and its users. On termination, your right to use the Service ends; provisions on content licenses, IP, disclaimers, liability, and governing law survive.

13. Changes to terms

We may update these Terms as the Service evolves. When changes are material we will notify you by email or in-app before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of Georgia (country), without regard to conflict-of-law rules. Disputes will be subject to the courts of Tbilisi, Georgia, unless mandatory local consumer law provides otherwise.
